These Terms and Conditions ("Terms") govern your use of the website located at thethinkingpractice.com ("Website") and your purchase of any products or services offered by The Thinking Practice Pty Ltd ("we", "us", "our", "The Thinking Practice").

 

By accessing or using this Website, or by purchasing any product or service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use this Website or make a purchase.

 

These Terms are governed by the laws of Queensland, Australia, and are subject to the Australian Consumer Law (ACL) as contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these Terms is intended to exclude, restrict, or modify any right or remedy you have under the ACL.

Our products and services include:

  • The Execution Architecture Canvas, a free downloadable strategic framework

  • Facilitated sessions, Design Sessions, and workshops delivered in person or online

  • 90-Day Execution Reset engagements

4.2 Website Availability

We make reasonable efforts to keep this Website available at all times but do not guarantee uninterrupted access. We may suspend, withdraw, or restrict access to all or part of the Website for business or operational reasons without notice.

5. Products and Purchases

5.1 Digital Products (Instant Download)

The Thinking Practice Starter Pack and any other digital products are delivered as instant downloads following successful payment. By completing a purchase you acknowledge that:

  • Delivery of digital content begins immediately upon purchase confirmation

  • You have been clearly informed of this before completing your purchase

  • Your statutory rights under the ACL are not affected by the digital nature of the product

  • Our 30-Day Money Back Guarantee applies to your purchase as set out in Clause 3

5.2 Product Descriptions

We take reasonable care to ensure that product descriptions, images, and information on this Website are accurate. However, we do not warrant that descriptions are complete, current, or error-free. If a product you receive is materially different from its description, your rights under the ACL and our 30-Day Money Back Guarantee both apply.

 

5.3 Pricing

All prices are displayed in Australian Dollars (AUD). Prices are correct at the time of publication and may be updated from time to time without notice. The price applicable to your purchase is the price displayed at the time you complete your order.

 

GST: All prices are inclusive of GST.

 

5.4 Payment

Payment is processed securely through our third-party payment provider. We do not store your payment card details. By making a purchase you agree to the terms and conditions of the relevant payment processor.

 

5.5 Order Confirmation

You will receive an order confirmation by email following a successful purchase. This confirmation constitutes our acceptance of your order and forms a binding agreement between you and The Thinking Practice, subject to your rights under the ACL and our 30-Day Money Back Guarantee.

6. Facilitation Services and Engagements

6.1 Booking and Confirmation

Facilitated sessions, Design Sessions, 90-Day Execution Resets, and other service engagements are confirmed only when a written engagement letter or service agreement has been signed by both parties and any required deposit has been received.

 

6.2 Cancellation and Rescheduling - Default Terms

Cancellation and rescheduling terms for facilitated engagements are set out in the relevant engagement letter. In the absence of a specific written agreement, the following default terms apply:

  • Cancellations made 10 or more business days before the scheduled session: full refund of any deposit paid

  • Cancellations made 5–9 business days before the scheduled session: 50% of the engagement fee is payable

  • Cancellations made fewer than 5 business days before the scheduled session: full engagement fee is payable

  • Rescheduling requests made 5 or more business days before the session: accommodated at no charge, subject to availability

 

These terms do not limit any rights you may have under the ACL where the cancellation results from a failure by The Thinking Practice to deliver the service as agreed.

 

6.3 Note on the 30-Day Guarantee

The 30-Day Money Back Guarantee described in Clause 3 applies to the Starter Pack digital product only. It does not apply to facilitated service engagements, which are governed by this Clause 6 and the relevant engagement letter.

7. Intellectual Property

7.1 Ownership

All content on this Website and in our products, including but not limited to the Thinking Canvas framework, the Execution Architecture methodology, guides, templates, written content, graphics, and branding is the intellectual property of The Thinking Practice Pty Ltd and is protected by Australian copyright law.

 

7.2 Licence to Use

When you purchase the Starter Pack or download a free resource, you are granted a limited, non-exclusive, non-transferable personal licence to use the materials for your own professional facilitation and organisational use. This licence does not permit you to:

  • Reproduce, distribute, or sell the materials to third parties

  • Use the materials to create competing products or services

  • Remove or alter any copyright notices or branding

  • Share digital files with individuals who have not purchased the product

 

If a refund is issued under the 30-Day Money Back Guarantee, the licence to use the materials is revoked upon processing of the refund.

 

7.3 Trademarks

The Thinking Practice™, The Thinking Canvas™, and Execution Architecture™ are pending trademarks of The Thinking Practice Pty Ltd. You may not use these marks without our prior written consent.

8. Limitation of Liability

8.1 General Limitation

To the maximum extent permitted by law, The Thinking Practice's total liability to you for any claim arising from your use of this Website or our products and services is limited to the amount you paid for the relevant product or service.

 

8.2 Excluded Loss

To the maximum extent permitted by law, we exclude liability for:

  • Indirect, incidental, special, or consequential loss or damage

  • Loss of profit, revenue, business opportunity, or data

  • Loss or damage arising from your reliance on information on this Website

  • Loss or damage caused by events outside our reasonable control

 

8.3 ACL Preservation

Nothing in this clause excludes, restricts, or modifies any consumer guarantee, right, or remedy under the ACL that cannot lawfully be excluded. Where the ACL applies and liability cannot be excluded, our liability is limited to the extent permitted by section 64A of the ACL.
